Job Description for #UgandaReading Board Members

 

Hashtag Uganda Reading Limited by Guarantee has been registered at the Registrar of Companies as a nonprofit organization that aims at getting those who are already reading to increase their reads, share what they are reading and inspire others to read.

To carry on as a movement to get Ugandans reading and build a strong reading culture, #UgandaReading is in the process of appointing Board members who govern the organization to achieve its vision.

Nominations are being accepted for people who will make great board members for a reading company.

The vision of Hashtag Uganda Reading Limited is to build a strong reading culture across Africa. Its mission is to encourage reading, generate mentors for other readers and change the mindset that Africans don`t read.

The main objective is to promote reading

 

Responsibilities of the Board

These responsibilities apply to the entire board and individual board members.

 

Board members shall be responsible of creation and review of statement of mission and purpose that articulate the organization`s objectives, means and the audience it serves.

The Board must reach consensus on the executive director`s responsibilities.

The Board will support and evaluate the executive director. The board will ensure that the executive director has the moral and professional support needed to further the goals of the organization.

The Board members must actively participate in an overall planning process and assist in implementing and monitoring of the goals set out.

The Board shall determine which projects are consistent with the organization’s mission and objective, and monitor their effectiveness.

Board members shall promote sustainability of all the organization`s projects. An important role they will play is to ensure adequate financial resources.

The Board shall provide proper financial oversight and protection of the organization`s assets. The board must assist in developing the annual budget and ensuring that proper financial controls are in place.

The Board shall be responsible for recruiting and orienting new members and evaluate their performance.

The Board shall ensure legal and ethical integrity is upheld by the organization. The Board is therefore responsible for adherence to legal standards and ethical norms.

The Board shall promote the organization`s image and place in public. The Board shall clearly articulate the organization’s mission, objectives, accomplishments, and goals to the public and garner support from communities.

Board chair

Oversees board and executive committee meetings

Works in partnership with the executive director to make sure board resolutions are carried out

Calls special meetings if necessary

Acts as an alternate spokesperson for the organization

Assists executive director in conducting new board member orientation

Periodically consults with board members on their roles and helps them assess their performance

 

Board vice chair

Attend all board meetings

Carry out special assignments as requested by the board chair

Understand the responsibilities of the board chair and be able to perform these duties in the chair’s absence

Participate as a vital part of the board leadership

 

Board secretary

Attend all board meetings

Ensure the safety and accuracy of all board records

Review board minutes and provide notice of meetings of the board and/or of a committee when such notice is required

Assume responsibilities of the chair in the absence of the board chair, chair-elect, and vice chair

 

Board treasurer

Attend all board meetings

Maintain knowledge of the organization and personal commitment to its goals and objectives

Understand financial accounting for nonprofit organizations

Serve as the chair of the finance committee

Manage, with the finance committee, the board’s review of and action related to the board’s financial responsibilities

Work with the executive director and the head of finance and accounts to ensure that appropriate financial reports are made available to the board on a timely basis

Present the annual budget to the board for approval

Review the annual audit and answer board members’ questions about the audit.
